Affiliate Agreement — HBMB | Help Build My Business

The summary above is for convenience. The full agreement below is what governs the program.

This Affiliate Agreement (the "Agreement") is between Help Build My Business ("HBMB", "we", "us") and you ("Affiliate", "you"). By registering for the HBMB Affiliate Program (the "Program") and ticking the acceptance box at sign-up, you agree to be bound by this Agreement.

1.Enrollment & Eligibility

To join, you must complete the sign-up form with accurate details and accept this Agreement. You must be at least 18 years old and legally able to enter a contract. We may approve or decline any application, and may suspend or remove any affiliate, at our discretion.

2.Your Affiliate Link & Attribution

On joining you receive a unique referral code and/or link. When a person clicks your link, a referral is recorded for 60 days. If that person completes a qualifying purchase within those 60 days, the sale is attributed to you. If a customer is referred by more than one affiliate, the most recent valid referral within the window is credited. You are responsible for sharing your link honestly and only where permitted.

3.Commission

Commission rates are set per product under two tracks. A "qualifying sale" is a completed, paid, and non-refunded purchase validly attributed to you. Commission is calculated on the amount actually paid, excluding taxes, fees, refunds, chargebacks, or discounts. If a sale is refunded or reversed, the related commission is cancelled and may be deducted from your balance.

Digital-product commissions become payable after a 7-day hold (the refund window). Service commissions become payable only when the referred client's payment has cleared in full. We may amend this schedule on 14 days' notice; amendments apply prospectively only.

4.Payments

Commissions are paid twice monthly, on or about the 1st and 15th, by bank transfer, for balances of ₦5,000 or more (smaller balances roll over). Your first payout is subject to a one-time verification review.
You must provide accurate payout details. We are not responsible for payments delayed or lost due to incorrect information you supplied.
Only commissions from confirmed, non-refunded sales are payable. Amounts tied to pending or disputed transactions are held until resolved.
You are solely responsible for any taxes owed on your commissions. You act as an independent contractor, not an employee. Where Nigerian law requires withholding tax to be deducted from payments to you, we will deduct and remit it and pay you the net balance.

5.Prohibited Conduct

To protect the program and our brand, you must not:

Send spam, or promote via unsolicited email, messages, or misleading advertising.
Make false, exaggerated, or unauthorized claims about HBMB, its products, prices, or results — including any earnings or income guarantees to prospective buyers (e.g. "you will make ₦X").
Bid on HBMB brand names or trademarks in paid search, or register confusingly similar domains, social handles, or ad accounts.
Use cookie-stuffing, forced clicks, bots, fake traffic, or any deceptive technique to generate referrals.
Abuse self-referral — you may buy each digital product once through your own code for familiarisation; repeated self-purchases, purchase-refund cycles, or arranging purchases mainly to farm commission are prohibited.
Promote HBMB on sites or channels that are illegal, hateful, adult, or otherwise harmful.
Represent yourself as an employee, agent, or official partner of HBMB beyond your role as an affiliate.

Any breach may result in withheld commissions, removal from the Program, and, where warranted, further action.

6.Use of Our Brand

We grant you a limited, non-exclusive, revocable licence to use HBMB's name and approved marketing materials solely to promote HBMB under this Program. You may not modify our logos, imply endorsement beyond an affiliate relationship, or use our brand in any way that damages our reputation. All intellectual property remains ours.

7.Relationship of the Parties

You are an independent contractor. Nothing here creates an employment, partnership, joint-venture, or agency relationship. You have no authority to make commitments on our behalf.

8.Term & Termination

This Agreement starts when you join and continues until ended. Either party may end it at any time, for any reason, by notice (including by email or by closing your account). On termination, commissions already earned from confirmed, non-refunded sales will be paid in the next normal payout. We may withhold payment and terminate immediately in cases of fraud, abuse, or breach of this Agreement.

9.Confidentiality

You will keep confidential any non-public information we share (including commission data, tools, and business information) and use it only to participate in the Program.

10.Disclaimer & Limitation of Liability

The Program is provided "as is". We do not guarantee any level of earnings, traffic, or availability. To the maximum extent permitted by law, HBMB is not liable for any indirect or consequential loss, and our total liability under this Agreement will not exceed the total commissions payable to you in the three months before the claim.

11.Indemnity

You agree to indemnify and hold HBMB harmless from any claims, losses, or costs arising from your promotion activities, your breach of this Agreement, or your violation of any law or third-party right.

12.Changes to the Program or Agreement

We may update this Agreement, the commission rate, or the Program at any time. Material changes will be posted on this page with a new version date. Your continued participation after a change means you accept the updated terms.

13.Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria, and any dispute will be subject to the courts of Lagos State.
